Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EngagementAmp website, dashboard, and related services (collectively, the "Service") operated by EngagementAmp ("EngagementAmp," "we," "our," or "us"). By using the Service you agree to be bound by these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

EngagementAmp is a growth platform that helps brands earn visibility on Reddit, in Google search results, and in answers produced by AI assistants such as ChatGPT, Claude, Perplexity, and Gemini. The Service includes our public website, our client dashboard, scheduled syncs that retrieve metrics from third-party services you connect (such as Google Analytics and Google Search Console), and any reports, content, or strategy work we deliver under a separate engagement.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. Accounts are issued to a single business entity. You are responsible for:

• The accuracy of the information you provide.
• Keeping your login credentials confidential and not sharing them with unauthorized parties.
• All activity that occurs under your account, including actions taken by team members you invite.
• Notifying us promptly at hello@engagementamp.com if you suspect unauthorized access.

3. Acceptable use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights).
• Access or attempt to access another customer's account or data, or probe, scan, or test the vulnerability of the Service without our written permission.
• Reverse engineer, decompile, or attempt to derive source code from the Service, except to the extent that applicable law expressly permits it.
• Use the Service to send spam, automate abusive behavior on third-party platforms, scrape data we are not licensed to provide, or otherwise violate the terms of any third-party platform connected to your account.
• Resell, sublicense, or commercially exploit the Service without our prior written consent.
• Upload or transmit malware, exploits, or any code designed to harm the Service or its users.
• Use the Service to harass, defame, or harm any person.

4. Third-party services & integrations

The Service connects to third-party services that you choose to authorize, including Google Analytics, Google Search Console, and others. Your use of those services is governed by their own terms and privacy policies, not by these Terms. You are responsible for maintaining the legal basis to share data from those services with us — for example, by being the account owner or having appropriate authorization from the account owner.

EngagementAmp's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for details on what Google user data we access and how we handle it.

You can disconnect any integration at any time from the Integrations page in your dashboard, or, for Google connections, from Google's third-party access page.

5. Customer data & ownership

You retain all rights to the content, data, and materials you submit to or connect with the Service ("Customer Data"), including data we retrieve on your behalf from third-party services you authorize. You grant EngagementAmp a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely to provide and improve the Service for you.

We do not use Customer Data — including data retrieved from connected accounts such as Google Analytics or Google Search Console — to train generalized or non-personalized AI or machine learning models.

6. Fees

Some parts of the Service are paid. Fees, billing cadence, and payment terms will be set out in a separate order form, statement of work, or signup flow. Unless otherwise stated, fees are exclusive of taxes and are non-refundable. We may change fees on renewal with advance notice.

7. Term & termination

These Terms apply for as long as you use the Service. Either party may terminate the relationship at any time:

• You may stop using the Service and request account deletion by emailing hello@engagementamp.com.
• We may suspend or terminate your access if you breach these Terms, if required by law, or if continued provision of the Service to you would expose us to legal or security risk.

On termination we will, at your request and within a reasonable period, return or delete Customer Data, except where we are required to retain it by law or for routine backup retention.

8. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, EngagementAmp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any reports, rankings, or analytics produced by the Service will be accurate, complete, or achieve any particular business outcome.

9. Limitation of liability

To the maximum extent permitted by law, EngagementAmp and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.

10. Indemnification

You agree to defend, indemnify, and hold harmless EngagementAmp and its officers, directors, employees, and agents from and against any third-party claim arising out of (a) your breach of these Terms, (b) your violation of applicable law, or (c) your Customer Data infringing or otherwise violating a third party's rights.

11. Confidentiality

Each party agrees to keep the other party's non-public information confidential and to use it only to perform under these Terms. This obligation survives termination for a period of three (3) years.

12. Changes to the Service or these Terms

We may modify the Service at any time, and we may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, give you more prominent notice (such as an in-app banner or email). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

13. Governing law & disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

14. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy and any order form or statement of work we sign with you, are the entire agreement between us and supersede any prior agreements on the same subject.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force.
• No waiver. A failure to enforce any right under these Terms is not a waiver of that right.
• Notices. We may send notices to the email associated with your account; you may send notices to us at hello@engagementamp.com.
